Terms of Service

  1. Introduction

    Welcome to the Pathway Portal, a service provided by Pathway Law ("we", "us" or "our") to our clients ("you" or "your"). These Terms of Service ("Terms") govern your access and use of the Pathway Portal, including any services and features made available through it.

    By accessing or using the Pathway Portal, you are indicating that you accept and agree to these Terms. You are not permitted to use the Pathway Portal if you do not accept and agree to these Terms.

  2. Services Provided and Termination of Services

    The Pathway Portal is an online platform that provides access to certain services, features, and resources as a courtesy to our clients. Pathway Law reserves the right to add, remove, modify, discontinue, or otherwise change any aspect of the Pathway Portal at any time without prior notice.

    The Pathway Portal is intended for use by our clients in connection with the legal services offered by Pathway Law. At our sole discretion, we may grant you access and use of the Pathway Portal and access to use the services, features, and resources that we make available to you in the Pathway Portal. You do not have or retain any right to access or use the Pathway Portal. All use must be lawful, in compliance with these Terms, with the separate Privacy Policy, and with the separate Acceptable Use Policy, and be consistent with the intended purposes of the Pathway Portal.

    Pathway Law reserves the right to grant, suspend, or terminate access to the Pathway Portal at any time, with or without cause, with or without notice, for any reason, including violation of these Terms or non-compliance with the Privacy Policy or the Acceptable Use Policy.

  3. Client Obligations

    To access the features of the Pathway Portal, you are required to create an account. You are responsible for maintaining the secrecy, privacy, confidentiality and security of your account credentials, including your email and password used for signing into your account, and for any activities that occur under your account. It is your responsibility to notify us immediately if you suspect unauthorized access or use of your account. While we are committed to maintaining a secure platform, the security of your account access information rests with you. We do not bear any responsibility and are not liable for any harm or loss or damage that may arise from unauthorized access resulting from your failure to secure your password or your account, for any reason.

    Any access or use of the Pathway Portal that we, in our sole discretion, deem unauthorized or inappropriate may result in suspension or termination of your account without notice or compensation of any kind.

  4. Intellectual Property, Content Ownership, and Privacy

    All content and materials provided in the Pathway Portal, and all intellectual property rights in the Pathway Portal, including but not limited to software, design, and content, are owned by Pathway Law. Pathway Law grants you limited, non-exclusive, non-transferable permission to access and use the Pathway Portal solely for its intended purposes. This licence does not permit you to reproduce, distribute, or create derivative works from the Pathway Portal content without our express permission.

    Any content you add, generate, or upload to the Pathway Portal remains your property. However, Pathway Law may use this content as necessary to provide services, subject to privacy laws and regulations. You grant Pathway Law a non-exclusive, royalty-free licence to use, reproduce, and modify the content for the purposes of providing you with the Pathway Portal and its services and providing you with the legal services provided by Pathway Law.

    Pathway Law is committed to protecting your personal information and will comply with all applicable privacy laws in Ontario, Canada. Details on data handling can be found in the separate Privacy Policy.

  5. Limitation of Liability

    To the fullest extent permitted by law, Pathway Law shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Pathway Portal or any of the services and features made available through it. This includes, but is not limited to, losses, errors, damages, costs, and tangible or intangible losses.

  6. Indemnification

    You agree to indemnify, defend, and hold harmless Pathway Law, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with your use of the Pathway Portal or violation of these Terms.

  7. Governing Law and Dispute Resolution

    These Terms shall be governed by and construed in accordance with applicable legislation without regard to its conflict of law principles.

    Any disputes arising out of or related to these Terms or your use of the Pathway Portal shall be governed by the laws of Ontario, Canada. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for the resolution of any disputes.

  8. Modifications to the Pathway Portal and Terms

    Pathway Law reserves the right to update, add, remove, modify, discontinue, or otherwise change these Terms, the Pathway Portal, and its services. Significant changes to these Terms will be communicated to you in advance by email, and the latest version of the Terms will be posted on https://user.pathway.law/terms-of-service. It is your responsibility to review the Terms periodically. By continuing to access or use the Pathway Portal, you are indicating that you accept and agree to these Terms and any changes to them.
